China's 《
公司法》 distinguishes two forms of
公司合并:
吸收合并 (absorption merger — one company absorbs another, which dissolves) and
新设合并 (consolidation merger — both dissolve, a new entity emerges). Both require creditor notice and majority shareholder approval.
